Terms of Service

These Terms govern your use of the Notedeck service at notedeck.ai (the "Service"). By accessing or using the Service, you agree to these Terms. If you do not agree, do not use the Service.
1. Acceptance of these Terms
By creating an account or using the Service, you confirm that you have read, understood, and agreed to be bound by these Terms and by our Privacy Policy.
If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
2. Your account
You must be at least 13 years old to create an account. If you are between 13 and the legal age of majority in your jurisdiction (typically 18), please review these Terms with a parent or legal guardian and use the Service under their supervision.
Provide accurate registration information and keep your contact email current.
You are responsible for keeping your account credentials confidential and for all activity under your account.
One person, one account, except where we expressly authorize otherwise.
3. Your content and ownership
You retain all rights to the materials you upload to the Service ("Your Content").
You grant Notedeck a worldwide, non-exclusive, royalty-free license to host, store, parse, transform, and otherwise process Your Content for the purposes of (i) providing and improving the Service for you, and (ii) developing, evaluating, and refining the AI features Notedeck ships to all users (lessons, quizzes, knowledge graphs, retrieval, and similar). We do not claim ownership of Your Content.
We do not authorize third-party LLM providers (such as Moonshot AI, Anthropic, Google, DeepSeek) to use Your Content to train their own general-purpose models.
You may opt out of having Your Content used for training and evaluation of our AI features at any time by emailing [email protected] with the subject "AI training opt-out". See Section 8 of our Privacy Policy for details.
Generated artifacts (lessons, quizzes, summaries, knowledge graphs) produced from Your Content belong to you. Notedeck makes no copyright claim against artifacts derived from your own materials.
4. Service availability
We provide the Service on an "as is" and "as available" basis. We do not guarantee uptime, error-free operation, or continuous availability of any specific feature.
We may modify, suspend, or discontinue the Service or any feature with reasonable notice when feasible. We will give 30 days' notice for material discontinuations affecting paying users.
5. Acceptable use
You agree not to use the Service to: (a) upload or process illegal content; (b) upload content that infringes someone else's copyright, trademark, or other rights; (c) upload malware or anything intended to disrupt the Service; (d) attempt to extract personal information about other users; (e) circumvent rate limits, paywalls, or access controls; (f) reverse-engineer the Service except as permitted by law; (g) resell or sublicense access without our written authorization; (h) generate, distribute, or instruct generation of CSAM, weapons of mass destruction, or other content prohibited by applicable law; (i) impersonate other people or entities.
We may suspend or terminate your account for any violation of this Acceptable Use policy, with notice where feasible.
6. Payments and refunds
The Service is free to use during the current private beta. If we introduce paid tiers, the price, billing cycle, and refund policy will be disclosed on the pricing page and at checkout.
Taxes, where applicable, are your responsibility unless we are legally required to collect them.
7. Third-party services
The Service relies on third-party large language model providers, cloud infrastructure providers, and (when paid tiers launch) payment processors. Their terms apply to the parts of the Service that touch your data on their systems.
We are not responsible for third-party services beyond what is described in our Privacy Policy regarding our use of them.
8. Intellectual property
The Notedeck name, logo, branding, code, design, and original site content are owned by us. These Terms do not transfer ownership of any of those to you.
Open-source components used in the Service are licensed under their own terms. The list of open-source components and their licenses is available on request.
9. Termination
You may close your account at any time. We will delete your account and associated data on the timeline described in our Privacy Policy.
We may suspend or terminate your access for breach of these Terms, applicable law, or our Acceptable Use policy.
10. Disclaimers and limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, NOTEDECK SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR USE, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR THE SERVICE.
OUR TOTAL LIABILITY FOR ANY CLAIM RELATED TO THE SERVICE WILL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR USD 100, WHICHEVER IS GREATER.
11. Governing law and dispute resolution
Default rule (non-PRC residents). These Terms are governed by the laws of the State of California, United States, without regard to its conflict-of-laws principles. You and Notedeck agree to resolve any dispute arising from these Terms or the Service exclusively through binding individual arbitration in San Francisco, California, under the Commercial Arbitration Rules of the American Arbitration Association. You and Notedeck waive any right to a jury trial and any right to participate in a class action.
Carve-out for residents of mainland China. If you are a resident of mainland China, the dispute-resolution provisions in this Section 11 do not apply to you. Disputes between you and Notedeck will be governed by the laws of the People's Republic of China and submitted to the people's court at the operator's principal place of residence.
12. Geographic restrictions
We may, at our discretion, restrict or terminate access to the Service in any jurisdiction where we determine that continued operation may not comply with applicable law or our operational policies. Affected users may receive reduced functionality or no access, without prior individual notice.
13. Changes to these Terms
We may update these Terms from time to time. When we make material changes we will notify you by email and post a notice on this page at least 30 days before the changes take effect, except where the change is required by law or addresses a security issue, in which case we may act sooner.
Your continued use of the Service after the change takes effect constitutes acceptance of the updated Terms.
